POLICIES & PROCEDURES

TERMS

* Net 30 Days. Payment for invoices must be received within 30 days of invoice date. Invoices over 30 days old are considered past due.

* A $50.00 charge will be assessed on any returned checks.

* Visa, Mastercard, and American Express credit cards are accepted.

ORDERING INFORMATION

* Chemax Corporation (“Chemax”) reserves the right to extend or withhold lines of open account credit to any dealer determined by the dealer’s experience, record of trade payments, financial condition, amount of credit needed, etc. Depending on these factors, Chemax may require current financial information.

* Orders may be placed by calling Customer Service at 1-800-346-0132 or by fax at 409-866-4424. Orders may also be placed by e-mailing the Sales Department at chemax@chemaxmil.com.

PAST DUE ACCOUNTS

* Open account privileges may be suspended if invoices are not paid when due within published terms, and subsequent orders may be held until the account balance is reduced to current status. Unusual cases of adjustment or dispute will be given individual consideration and handled accordingly.

* Reasonable attorneys’ fees and other collection costs will be added to collection claims.

GENERAL ORDER REQUIREMENTS and INFORMATION

* 1 – box minimum order on products. 6-gallon minimum order on products packaged by the gallon.

* All orders under the minimum requirements will incur a $25.00 fee per order.

* Most orders will be shipped the same business day if orders are placed by 12 p.m. CST. Orders placed after 12:00 p.m. CST will be shipped the next business day.

* Chemax chooses the mode of transportation as well as the carrier unless otherwise specified.

WILL CALL and PICK UP

* One hour order lead time is required on all Will Call orders. All will call orders must be placed by calling Customer Service at 1-800-346-0132.

* Will call orders placed after 2 p.m. CST will be available the next business day at 8:30 a.m. CST.

* General Order Requirements Apply (see above).

COMMON CARRIER (LTL)

* Common carrier will be used for all customer orders where small package shipments are not possible or cost effective. LTL shipments are limited to destinations within the continental United States.

* Customer is responsible for shipping and handling charges on all orders shipped. Chemax will prepay and add freight unless otherwise specified.

* Shipping and handling charges will be based on origin, destination and weight. Call Customer Service at 1-800-346-0132 for more information.

SMALL PACKAGE SHIPMENTS

* Chemax will utilize standard UPS Ground for parcel shipments. UPS ground rates apply for all shipments within the continental U.S. All extra charges including residential delivery surcharge, dim charges, additional handling charges, etc. is the responsibility of the customer.

* The customer can request special UPS services, such as overnight delivery, at the sole expense of the customer.

* The customer may provide Chemax with a UPS Collect Account Number. Chemax will ship the package collect and no freight charges will be added to the customer invoice.

* Chemax will utilize standard Fed Ex Ground for all hazardous shipments. Fed Ex Ground rates apply for all shipments within the continental U.S.

* Not all stocked items can be shipped via UPS. These items will be shipped via common carrier with applicable shipping and handling charges.

BACK ORDERS

* Chemax will ship back orders as soon as the product is available for shipment.

* Most back orders will ship within 5 – 10 business days.

DAMAGES / SHORTAGES

* The carrier who delivers merchandise is responsible for loss and damages. Acceptance of the shipment from the carrier is an acknowledgement that the articles delivered were received in good condition and properly packed.

* If there are damages or shortages, notify the carrier at the time of delivery so that they may process the claim. Carriers will not honor claims when the customer signs receiving documents as free and clear. Notify Chemax to arrange for reshipment of lost or damaged products.

DISCREPANCIES

* In the event of an invoice or shipment discrepancies, please notify Customer Service at (800) 346-0132 within five days of receipt.

SPECIAL ORDER MERCHANDISE

* Any item not listed in this catalog is considered a non-stock item, and may be subject to limited availability or available only on a special order basis and not subject to standard Chemax lead times.

* Special Order and Non-stock order quantities must meet Chemax’s minimum order requirement of one full-carton and may be subject to excessive lead times.

* Special Order and Non-stock orders will ship as soon as possible. Applicable shipping and handling charges will apply.

* No order cancellations can be accepted for Special Order or Non-stock merchandise once the order has been placed and shipped.

* No returns can be accepted for Special Order or Non-stock merchandise.

RETURNS

* Chemax accepts returns of stocked merchandise only, as defined by the products listed in this catalog.

* Return of stocked items received within:

* 0-15 days of invoice date: 15% restocking fee
* 15 days or longer: No Returns Allowed

* Customers are responsible for coordinating the return of all products to Chemax and pay any and all applicable fees including but not limited to freight, restock, UPS Call Tags, etc.

* No Returns Allowed for products which are:

* Discontinued, Damaged
* Special Order Items
* Non-Stock or Close-Out Merchandise

* All return merchandise must be received in re-sellable condition with no additional markings and/or labeling on the package.

* In the event of a shipping discrepancy, such as, damage, shortage or mispick, please notify Chemax at 1-800-346-0132, within five business days of receipt.
